World Series 2009 - Terms & Conditions

This agreement (the "Agreement") is applicable to all players ("Entrants") which win, buy, receive or accept a package or seat to the WSOP Main Event 2009 via www.pokerstars.com ("PokerStars") as per the conditions noted below.

The Agreement will be valid upon signature/acceptance by an Entrant until the earlier of (i) that Entrant's elimination from the Event or (ii) the conclusion of the Main Event on 10th November, 2009 (the "Term").

For the purposes of this Agreement:

"July Tables" refers to the event taking place from 3^rd July to 15^th July, 2009;

"Final Table" refers to the final table taking place from 7^th to 10^th November, 2009; and

"Main Event" refers to both the July Tables and the Final Table.

A. BENEFITS

An Entrant is entitled to receive the benefits detailed below from PokerStars provided they:
- Sign the Agreement at the PokerStars main representative office located in the Palms Hotel, Las Vegas (in advance of any benefits being provided); and
- Wear, exclusively and throughout the entire duration of the Main Event (including at the Final Table), the PokerStars branded clothing provided in the 2009 *WSOP Player Bag to be collected by the Entrant prior to the commencement of the Event ("PS Clothing").
For the avoidance of doubt:
- Entrants must wear both the official PokerStars hat (if any hat or head covering is worn) and PokerStars shirt/t-shirt/fleece;
- No other third party logos can be worn by an Entrant at any time during the Term (regardless of whether such logo is of a competitor or not e.g. no clothing companies, jewelry, energy drinks, training sites) throughout the Term;
- Entrants must wear the PS Clothing to all poker-related activities and PR events (whether set up by PokerStars or others) throughout the Event.

The benefits provided by PokerStars are as follows:

3^rd July – 13^th July, 2009 Benefits

Free Shuttle Bus	A free shuttle bus services from 3^rd July to 13^th July, 2009 between the Palms Hotel and the Rio Hotel & Casino, Las Vegas.
VIP Status Incentive	Supernova status for the remainder of 2009 – 100,000 VPPs (VIP Player Points) added onto your PokerStars account from 15^th July, 2009.
$1 Million Freeroll	Entry into the $1 Million Freeroll Summer Spectacular (details soon to be released).

Final Table Benefits – for Entrants participating in the Final Table

Air fare	Two business class return air tickets from Entrant's point of origin to Las Vegas.
Accommodation	Cost of accommodation at Las Vegas for 5 nights (6^th - 10^th November, 2009).

B. PR DUTIES/OBLIGATIONS

By entering into this Agreement you grant PokerStars the right to use your name, image, likeness, quotations and recordings at the Main Event and during the Term for promotional purposes and advertising without further compensation and you expressly waive any claims against PokerStars in this regard.
You further agree to help promote PokerStars and make yourself available to PokerStars to act as a PokerStars spokesperson during the Main Event for the full Term of this agreement (including the period between the July Tables and the Final Table), during which time PokerStars may request that you participate in marketing events, press opportunities or any other public appearance in which the Entrant will promote PokerStars as may be reasonably required by PokerStars.

C. FINAL TABLE WINNER'S COMPENSATION

NOTE: Compensation to the Final Table winner as detailed below is awarded subject to an Entrant's strict compliance with this Agreement AND the Final Table winner entering into a 12 month endorsement agreement with PokerStars. This endorsement agreement between Entrant and PokerStars will include, but is not limited to: the rights to the Entrant’s name/likeness to be used for marketing purposes including advertising; the rights at PokerStar’s sole discretion to decide if the Entrant will be referred to as part of “Team Pokerstars Pro”; and the Entrant being available to do PR, advertising and attend PokerStars related events and activities at the sole discretion of PokerStars. The compensation from the 1^st place winning will not be awarded until the 12 month endorsement agreement is signed.
An Entrant reaching 1^st place at the Final Table will be awarded compensation by PokerStars with a value of US$1,000,000 comprising cash and tournament buy-ins as follows:
- $500,000 live tournament buy-ins (selected by PokerStars in its sole discretion)
- $100,000 Online PokerStars tournament buy-ins (selected by PokerStars in its sole discretion, but will include PokerStars top 15 online tournaments, WCOOP, SCOOP); and
- $400,000 cash (paid in quarterly installments from November, 2009).

For avoidance of doubt the 1^st place prize winnings will be the full compensation for the 12 month endorsement agreement with PokerStars and no further compensation for this endorsement agreement will be provided by PokerStars.

D. MISCELLANEOUS

In case of any disputes regarding any participation rights, all matters relating to the awarding of prizes and/or this Agreement, the final decision lies with PokerStars management, is binding and shall not be subject to review or appeal by an Entrant or by any third party.
For the avoidance of doubt, the Agreement shall apply to all qualified Entrants, as defined above, for the entirety of The Event with the sole exception of members of "Team PokerStars Pro" or employees and consultants of PokerStars who elect to participate in The Event.
Without prejudice to any other rights or remedies available to it at law, if an Entrant breaches in whole or in part any provision contained in the Agreement, PokerStars reserves the right to take such action as it sees fit, including terminating such Entrant's account with PokerStars and/or excluding the Entrant from future events sponsored by PokerStars and/or the forfeiture of any prize or compensation or bonus otherwise won by such Entrant.
During the Main Event, strict rules regarding player behavior will be enforced by the organizers of the Event which may include penalties, including, without limitation, disqualification. If you are penalized or disqualified from the Event as a result of any infraction of the rules of the Event, PokerStars assumes no responsibility for your entry into the Event, which may be forfeited.
The recitals hereto form an integral part of the Agreement.
The Agreement and all matters relating hereto shall be governed by, and construed in accordance the laws of the Isle of Man and shall be subject to the exclusive jurisdiction of the Isle of Man courts.
